Terms of Service

1. The agreement

These Terms of Service ("Terms") are an agreement between you and Kevra Tech [Fill in: legal name once the LLC is formed], [Fill in: business address] ("Kevra Tech," "we," "us"). They cover your use of the Kevra Tech website and software (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a business or firm, you agree on its behalf and confirm you have authority to do so.

Who can use the Service. You must be at least 18 years old and able to enter a binding contract. The Service is designed for United States federal tax planning.

Types of accounts.

  • Firm accounts: accountants, bookkeepers and tax professionals who use the Service to plan for their clients. The person who creates the firm is its owner and may invite staff.
  • Client portal accounts: individuals and business owners invited by a firm to view their plan and complete portal tasks.
  • Do-it-yourself accounts: individuals and business owners who use the Service for their own planning without a firm.

2. Not tax, legal or accounting advice

The Service gives estimates to help you plan. It is not tax, legal, accounting or financial advice, and using it does not create a professional relationship between you and Kevra Tech.

  • Results depend on the information entered and on the tax rules built into the Service, which may not cover every situation, every state, or law changes after the date they were last updated.
  • You are responsible for the accuracy of what you enter, for your tax filings and payments, and for decisions you make.
  • Firms remain fully responsible for the professional advice they give their clients, whether or not it is based on the Service.
  • Do-it-yourself users should consider having a qualified tax professional review significant decisions before acting.

3. Your account and security

You are responsible for activity under your account and for keeping your login safe.

  • Give accurate information when you sign up, and keep your email address current.
  • Use a strong password you don't use elsewhere. Firm users must use two-step login; other users are encouraged to.
  • Don't share your login. Firms give each staff member their own account and remove access when someone leaves.
  • Tell us right away at samonejbookkeeping@gmail.com if you believe your account or any client information has been accessed without permission.
  • We may sign you out after a period of inactivity, require two-step login, or suspend access to protect accounts and data.

4. Your data

You own the information you put into the Service ("Your Data"). We use it only to provide and improve the Service for you, as described in our Privacy Policy, and never sell it.

License to us. You give us permission to store, process, display and transmit Your Data only as needed to run the Service, keep it secure, back it up, and meet legal requirements.

Firms and their clients. When a firm enters or uploads a client's information, the firm:

  • confirms it has the client's permission and any legal authority needed, including any consent required under Internal Revenue Code section 7216 for tax return information;
  • is responsible for its own obligations to its clients, including under the FTC Safeguards Rule and IRS Publication 4557;
  • decides who in the firm can see client information, and controls which clients get portal access.

For firm accounts, Kevra Tech acts as the firm's service provider and handles client information on the firm's instructions.

Export and deletion. You can download a copy of your data while your account is active. See section 6 for what happens when an account ends.

5. Connected services and acceptable use

QuickBooks and other services. If you connect an outside service such as QuickBooks Online, you authorize us to read the information needed to provide the Service (for example monthly profit and loss, owner draws and tax payments). We only read; we never change your books. Your use of that service is governed by its own terms, and we are not responsible for it. You can disconnect at any time in the Service or in the other service.

Acceptable use. You agree not to:

  • enter information you don't have the right to use, or use the Service for anything unlawful or fraudulent;
  • try to access accounts, data or systems that aren't yours, or test, scan or probe the Service's security without written permission;
  • interfere with the Service, overload it, or use automated tools to collect data from it;
  • copy, resell or reverse engineer the Service, or use it to build a competing product;
  • upload malware or content that infringes others' rights.

6. Beta, fees and ending access

Beta. Some features, or the whole Service, may be offered as a beta. Beta features may change, have errors, or be withdrawn, and are provided without any service commitment.

Fees and trials. Paid plans, prices and any free trial are shown when you subscribe. [Fill in once billing is set up: billing cycle, automatic renewal, how to cancel, refund policy, price-change notice period, and taxes.] If a trial or subscription ends without payment, your access to the workspace pauses, and for firms, their clients' portal access pauses too.

Cancelling. You can cancel at any time. Cancellation takes effect at the end of the current billing period.

After an account ends. We keep Your Data for [Fill in: e.g. 90] days so you can come back or download it. After that we delete it, along with backups on their normal schedule, unless the law requires us to keep it.

Suspension. We may suspend or end access if you break these Terms, if payment fails, or if needed to protect the Service, other users or their data. Where reasonable, we will tell you first and give you a chance to download Your Data.

7. Disclaimers and limits on liability

As is. The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise the Service will be uninterrupted or error-free, or that calculations will match what the IRS or a state determines.

Limit on liability. To the fullest extent the law allows:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, taxes, penalties or interest, however caused;
  • our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or $100.

Some states don't allow certain limits, so some of these may not apply to you.

Indemnity. If you use the Service for a business or firm, you agree to defend and hold us harmless from claims arising from Your Data, your advice to clients, or your breach of these Terms or the law.

8. Changes, law and contact

Changes to these Terms. We may update these Terms. If a change is significant, we will tell you by email or in the Service at least [Fill in: e.g. 30] days before it takes effect. Continuing to use the Service after that means you accept the change.

Governing law. These Terms are governed by the laws of the State of [Fill in: your state], without regard to conflict-of-law rules.

Other terms. If part of these Terms can't be enforced, the rest still applies. Not enforcing a term isn't a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a sale or reorganization of our business.
